The committees

BILD hilft e.V., is a registered association that is legally, organisationally and financially independent. The association exclusively and directly pursues charitable and benevolent purposes.

The governing bodies of the association are the Meeting of Members Executive Council and Board of Trustees. All members of the Executive Council and Board of Trustees act in an honorary capacity.

Meeting of Members

The Meeting of Members is the supreme governing body of BILD hilft e.V. Its responsibilities include the election and removal from office of the members of the Executive Council and the Board of Trustees as well as the approval of the annual financial statements submitted by the Executive Council. Furthermore, it takes decisions regarding the acceptance and exclusion of members of the association and passes resolutions amending its charter. The ordinary meeting of members is held once a year.

Executive Council

The Executive Council is elected by the Meeting of Members for a period of three years. It manages the day-to-day business, plans the strategic orientation of the association and at its regular meetings passes resolutions concerning the use of funds in accordance with the charter. The Executive Council is supported by a full-time managing director and a team of staff currently made up of 14 members.

Board of Trustees

The Board of Trustees,which was set up in 2013, advises and monitors the Executive Council. Itis not involved in operational activities. Inview of this, the members of the Board of Trustees may not stand in arelationship of dependence with the association or with any member of theExecutive Council. The Board of Trustees is currently made up offive members and, according to the charter, has to meet at least three times ina financial year. In contrast to the members of the ExecutiveCouncil, the members of the Board of Trustees do not have to be members of theassociation.

„Ein Herz für Kinder“ Foundation

The foundation pursues the aim of permanently consolidating and supporting the work of BILD hilft e.V. „Ein Herz für Kinder”.

The EIN HERZ FÜR KINDER Foundation was set up by the BILD hilft e.V. association in 2008 in order to support and permanently consolidate the work of BILD hilft e.V.
It pursues the same aims and charter purposes as the association. With its permanent structure, the Foundation is intended to consolidate the work of „Ein Herz für Kinder” on a long-term basis.

The EIN HERZ FÜR KINDER Foundation is not currently engaged in any projects of its own. The interest earned from the management of the Foundation assets is used for the purposes set out in the charter and to consolidate the work of BILD hilft e.V. „Ein Herz für Kinder“ on a sustainable basis.

There is no transfer of assets from the association to the EIN HERZ FÜR KINDER Foundation. An exception to this was the donation of the nominal capital of €100,000 in 2008 within the framework of the Foundation’s business, but which the association paid from interest earned and not from donations made at the TV gala or by readers.

Endowments towards the assets of the EIN HERZ FÜR KINDER Foundation require that the founder or donor declares in writing that the donations are to be paid into the assets of the foundation. The existence of such „confirmations of the founder’s intentions“ and compliance with further requirements of the law governing foundations are verified annually by an independent auditor during the audit of the annual financial statements of the EIN HERZ FÜR KINDER Foundation.
